1. Services Provided:

a. SMAIRT AI (“Provider”) agrees to deliver Social Media Content & Posting Services (“Services”), which may include:

-Content strategy

-Creative asset production (graphics, captions, short videos, -carousels)

-Social media page setup and optimization

-Content calendar planning

-Posting and scheduling of content

-Performance monitoring and reporting

-Engagement support (replying to comments, inbox triage, etc.)

-Optional paid ads assistance and consulting

Any additional services or upgrades purchased by Client shall be covered under this Agreement.

2. Setup and Fees:

a. The Client agrees to pay a one-time onboarding and setup fee, covering strategy development, onboarding, branding, and system preparation.

b. A monthly management fee will be charged for ongoing strategy execution, content production, publishing, hosting AI Agents, optimization, platform management, and performance reporting. This was disclosed on payment page. And in your invoice emailed to you.

c. If Client requests paid advertising services, the Client understands that (a) ad spend is paid directly to the advertising platform, and (b) SMAIRT AI’s ads management fee is separate unless specifically included in the package.

d. The Provider may utilize licensed tools, scheduling platforms, or premium stock content. If these incur costs outside standard inclusions, the Client agrees to pay associated fees unless otherwise included in their tier.

e. If Client requires extra content beyond monthly limits (additional videos, graphics, campaigns), Provider may charge per item or content pack — pricing will be quoted and approved before work begins.

f. Any additional custom work outside social media — such as website development, CRM integration, automation, landing pages, or consultative strategy — will be billed separately at SMAIRT AI’s standard hourly rate or quoted project fee.

g. Any additional services, scope, deliverables not in this agreement, should be found in invoice/proposal. If there are questions, please reach out.

3. Payment Terms:

a. Setup fee is due prior to activation.
b. Monthly management fees recur every 30 days from activation date.
c. Late payments may incur a $50 late fee and may temporarily pause services until settled.

4. Term and Termination:

a. This Agreement begins upon execution and remains active until cancelled.

b. Client may be billed one-time, monthly, or annually. If the Client terminates annual service early, unused months are non-refundable.

c. Either Party may terminate services with a minimum 30-day written notice before renewal.

d. SMAIRT AI reserves the right to suspend or terminate services due to:

Abuse or harassment toward staff

Non-payment

Content violations or policy breaches

Reputational or legal risk created by Client content

5. Ownership and Licensing:

a. Client receives a license to use delivered content (graphics, captions, and edited media) for their business while active and paid under this Agreement.

b. Raw project files, templates, source designs, and editing systems remain property of SMAIRT AI unless purchased separately.

c. Client may not resell or distribute SMAIRT AI proprietary frameworks, templates, workflows, or methodologies without written consent.


6. Confidentiality:

a. Both parties agree to maintain the confidentiality of proprietary information and not disclose it to third parties without prior written consent.

7. Liability and Indemnification:

a. SMAIRT AI is not liable for indirect, incidental, or consequential losses including (but not limited to) algorithm changes, platform restrictions, bans, or performance fluctuations.

b. Client agrees to indemnify SMAIRT AI against claims arising from content they approve, including copyright, advertising violations, misleading claims, or customer complaints.

c. Client acknowledges responsibility for using testimonials, customer photos, or promotional claims legally and in compliance with advertising laws.

8. Governing Law:

a. This Agreement shall be governed by the laws of the state of Wyoming, in the United States

9. Understanding Usage Fees (Client Responsibility)

SMAIRT AI systems operate on usage-based infrastructure. These costs are not included in setup fees or monthly management fees unless explicitly stated in writing. All usage fees are billed at cost, based on actual consumption to the client's credit card on file.

SMAIRT AI does not mark up usage fees and is not responsible for pricing changes imposed by third-party platforms, carriers, or AI providers.

AI voice usage: $0.080 per minute

Retell phone number: $2/month per number

System requires two phone numbers (one in CRM, one in Retell) for proper call routing


OpenAI / ChatGPT API Costs

We use GPT-5 Mini by default for SMS + chat workflows because it’s the best balance of cost and quality for real customer conversations.

Current OpenAI Token Pricing (GPT-5 Mini)

OpenAI bills by tokens (chunks of text).

Model GPT-5 Mini (standard API):

Input: $0.45 per 1,000,000 tokens

Output: $3.60 per 1,000,000 tokens

Token costs are fractions of a cent per conversation in most real workflows.

Example token budgets (typical for lead handling):

Light chat: 200 input + 150 output tokens

Typical chat: 400 input + 300 output tokens

Heavy chat: 800 input + 600 output tokens

GPT-5 Mini token cost per conversation (approx):

Light: $0.00063 (0.063 cents)

Typical: $0.00126 (0.126 cents)

Heavy: $0.00252 (0.252 cents)

So: OpenAI tokens are not the big cost driver.

Text + AI (per lead)

Using your SMS rate: $0.0083 per segment (~60 characters).
Most business texts land around 1–3 segments per message.

Scenario A: Quick lead (light follow-up)

4 texts total, ~2 segments each = 8 segments

SMS: 8 × $0.0083 = $0.0664

Phone validation: $0.004

OpenAI tokens (light): $0.00063

Hard cost per lead: ~$0.071 (7.1 cents)

10 texts total, ~2 segments each = 20 segments

OpenAI token cost is basically rounding dust compared to minutes.

Hard cost: ~$0.36–$0.50 (depending on fees)

Minutes cost: 10 × ($0.078 + $0.012) = $0.90

Bottom Line

These are pay-for-what-you-use infrastructure costs

Comparable to phone minutes, email credits, or cloud hosting

OpenAI tokens are negligible compared to SMS and voice minutes

Costs scale only when real conversations happen

No usage = no usage fees


High usage usually means your campaign is working


Failure to maintain sufficient balances or cover required usage fees may result in temporary suspension of services until resolved.

10. Entire Agreement:

a. This document represents the entire agreement between SMAIRT AI and the Client and supersedes all prior negotiations, agreements, and understandings.

BY ELECTRONICALLY SIGNING BELOW, I ACKNOWLEDGE AND AGREE TO ALL TERMS STATED HEREIN INCLUSIVE OF ALL ITEMS ON THIS SERVICE AGREEMENT.
